Elutia Inc. (ticker: ELUT) closed the sale of its SimpliDerm business to Cellution Biologics on August 17, 2026, following the asset purchase agreement the two parties signed back on July 16. The business — making and selling human acellular dermis (hADM) products used in breast reconstruction under the SimpliDerm brand — accounted for substantially all of the assets of Elutia's Women's Health segment. Elutia received $7.7 million at closing, with the purchase price still subject to a post-closing inventory valuation adjustment and up to another $3 million in contingent payments over the next 18 months tied to technology transfer and commercial milestones. As part of the deal, Elutia also agreed to a five-year non-compete in related hADM lines, will provide up to six months of transition services, and amended its loan agreement to release the lien on the sold assets.
