CleanCore Solutions (ZONE) entered into agreements on July 2, 2026 to form a joint venture with HST Technologies for developing data centers focused on high-performance computing, AI, and cloud services. CleanCore will contribute up to $100 million in cash over nine months for a 99% capital interest. HST contributes project assets and a platform license for a 1% interest and a 20% carried participation after CleanCore receives a 12% preferred return. In exchange, he received 80,000 restricted stock units—half vested immediately and the rest will vest when the company files its next annual report. The agreements include clawback provisions tied to accounting or disclosure issues.
