Willis Lease Finance Corporation (WLFC) has officially closed its previously announced acquisition of two aircraft-leasing companies—Cayman-based WNG II Aircraft Leasing (Cayman) Ltd. and US-based WNG Aircraft Management 3, LLC—adding a portfolio of 12 commercial jets and 13 spare engines to its books. The deal was signed back on July 10, 2026 with a base price of $379.3 million, but after contractual adjustments for things like rent and maintenance reserves already collected (plus 6.25% annual interest accruing), the adjusted price at closing came to roughly $262.9 million, subject to further moves including releasing a pre-funded $10 million deposit to the sellers, holding back about $1.5 million for nine months, and paying off the target companies' existing credit facility. WLFC also plans to allocate 10 of the acquired engines and 6 of the aircraft to joint-venture subsidiaries or investment vehicles it manages.
