On August 6, 2026, WEBTOON Entertainment (WBTN) signed a share purchase agreement to buy up to 9,000 common shares of South Korean game developer RI Games Holdings from Redice & Company for KRW 16,666,667 per share, or KRW 150,000,003,000 total, in two closings. The first closing covers 2,999 shares; the second covers the remaining 6,001 and is conditioned on a commercial launch milestone for a game under development by an RI Games Holdings subsidiary. If both closings occur, WBTN will own about 60% of RI Games Holdings and consolidate its financial results. The related shareholders agreement includes board composition, transfer restrictions, non-compete/non-solicitation terms, and future capital commitments of up to KRW 50 billion through June 30, 2030; the filing text is cut off before the maximum additional subscription amount is shown.
