At a virtual special meeting held on August 25, roughly 84% of outstanding shares were represented, and all three proposals passed: the Direct Merger proposal received about 92.0 million votes for versus 3.1 million against, the share issuance tied to the alternative Subsidiary Merger structure also cleared by a wide margin, and an advisory vote on merger-related executive pay was approved as well. Since both merger proposals passed comfortably, the adjournment contingency never came into play.
