View Full Filing (SEC EDGAR)Northwest Bancshares (NWBI) filed an 8-K on July 22, 2026, about a restricted stock unit grant for its CEO, Lou Torchio. The compensation committee found Torchio was performing well but paid less than peers, so they wanted to give him an incentive to stay past age 65 (he turns 65 in 2027). They originally approved a $2 million RSU award in December 2024, but part of it exceeded the $1 million annual limit under the old equity plan. After shareholders approved a new plan in May 2026 with a $5 million limit, the committee rescinded the excess portion and instead granted 125,298 RSUs on July 22 to make up for the rescinded shares and also for what would have been regular annual grants in March 2025 and March 2026 if the higher limit had been in place. The new award vests on the fourth anniversary in two installments, with accelerated vesting under certain conditions.
