The notes pay interest semiannually, are guaranteed on a senior unsecured basis by three subsidiaries, and were placed privately with qualified institutional buyers or offshore purchasers rather than registered with the SEC. The company says the proceeds will go primarily toward paying down part of its revolving credit facility, with any remainder for general corporate purposes.
