In its latest 8-K, CB Financial Services (CBFV) disclosed that Community Bank, its wholly owned banking subsidiary, signed brand-new employment agreements on August 24 with President & CEO John H. Montgomery and Senior EVP & Chief Banking Officer Bruce Sharp, both running through April 30, 2029 with automatic one-year extensions after that. Despite falling under Item 5.02, nothing actually changed on the board — the substance is refreshed pay packages for two sitting executives: Montgomery gets a $495,000 base salary plus targeted bonus and long-term equity awards each set at 20% of salary, while Sharp's base is $294,500. The exit provisions are where things get interesting — if either executive is terminated without cause or resigns for "good reason," he receives a lump sum covering his remaining contract term (or 12 months), but if that happens around a change in control, the payout jumps to three times his highest recent salary plus his average bonus over the prior three years. The bank also put a new split-dollar life insurance arrangement in place for Montgomery, under which his designated beneficiary can receive up to $500,000.
